Acceptance of Terms
By engaging Akumio Technologies (“Akumio”, “we”, “us”, or “our”) — whether through a signed proposal, a purchase order, a statement of work, or commencement of a project — you (“Client”, “you”) agree to be bound by these Terms & Conditions (“Terms”).
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Services
Akumio provides digital product services including, but not limited to:
- Brand identity design (logo systems, colour and type, brand guidelines)
- UI/UX design (wireframes, prototypes, design systems)
- Web application development (React, Next.js, backend APIs)
- Mobile application development (iOS, Android, React Native)
- Strategy, discovery, and product advisory
The precise scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (“SOW”) or proposal document agreed upon in writing by both parties. These Terms govern every such engagement unless explicitly superseded in the SOW.

Engagement & Scope
All projects begin with a scoping call or discovery phase. Work outside the agreed scope (“out-of-scope work”) will be quoted separately before being commenced — we will not bill you for work we have not agreed to in writing.
Client is responsible for providing timely feedback, assets, and access required for the project. Delays caused by late client input may result in revised delivery dates; Akumio will communicate revised timelines promptly.
Akumio reserves the right to cap the number of active projects in parallel to protect the quality of all ongoing engagements. Acceptance of new work is at our discretion.

Payment
Unless otherwise stated in the SOW, the following payment structure applies:
- 50% of the project fee is due upon signing the SOW or proposal.
- The remaining 50% is due upon final delivery.
- Invoices are payable within 14 days of issue.
All prices are quoted exclusive of applicable taxes (including GST/VAT where applicable). Client is responsible for any taxes levied in their jurisdiction.
Late payments (beyond 14 days) accrue interest at 1.5% per month (or the maximum allowed by law, whichever is lower). Akumio reserves the right to pause active work until overdue invoices are settled.

Intellectual Property
Upon receipt of final payment in full, Akumio assigns to Client all rights, title, and interest in the final deliverables produced under the SOW, including any copyrights therein (“Work Product”).
The following are explicitly excluded from the assignment and remain the property of Akumio:
- Pre-existing tools, frameworks, libraries, and methodologies developed prior to or independently of the engagement (“Background IP”).
- Open-source components incorporated under their respective licences.
- Internal processes, templates, and know-how not specific to Client’s deliverables.
Where Background IP or open-source components are incorporated into deliverables, Akumio grants Client a perpetual, royalty-free, worldwide licence to use them as part of the delivered Work Product.
Akumio reserves the right to display the Work Product in its portfolio and marketing materials unless Client requests confidentiality in writing at project commencement.

Confidentiality
Both parties agree to keep confidential any non-public information exchanged during the engagement (“Confidential Information”), including business plans, product roadmaps, technical specifications, and client data.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; or (c) is required to be disclosed by law or court order.
This obligation survives termination of the engagement for a period of two (2) years.

Warranties & Liability
Akumio warrants that deliverables will materially conform to the agreed specifications at the time of delivery. Akumio will, at no additional cost, correct any material non-conformances identified within 30 days of final delivery.
Except as stated above, deliverables are provided “as-is”. Akumio makes no warranties — express or implied — including merchantability or fitness for a particular purpose.
To the maximum extent permitted by applicable law, Akumio’s total aggregate liability to Client arising out of or in connection with an engagement shall not exceed the total fees paid by Client under the relevant SOW in the 3 months preceding the claim.
In no event will either party be liable for indirect, incidental, consequential, punitive, or special damages — including loss of profits or business — even if advised of the possibility of such damages.

Termination
Either party may terminate an engagement for convenience with 14 days’ written notice. Upon termination:
- Client shall pay for all work completed up to the termination date, calculated on a pro-rata basis against the agreed project fee.
- Akumio will deliver all completed work product and project files within 7 business days of termination.
- The upfront deposit (if paid) is non-refundable if work has commenced.
Either party may terminate immediately for cause if the other party materially breaches these Terms and fails to cure such breach within 10 days of written notice.

Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.
For international clients, the parties agree that any dispute not resolved amicably within 30 days may be referred to binding arbitration under the rules of the Indian Arbitration and Conciliation Act, 1996.

Changes to Terms
Akumio may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. For active engagements, material changes will be communicated via email at least 14 days before taking effect.
Continued engagement with Akumio after updated Terms take effect constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you may terminate the engagement as described in the Termination section above.
